Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client" or "User"), and Layer Nine LLC ("Company," "we," "us," or "our"). By accessing our site or engaging our services, you agree to be bound by these terms.

2. Scope of Services

Layer Nine provides specialized digital solutions, including:

  • Custom Software Development: Design and development of home pages, login systems, and role-based access.
  • AI & Machine Learning Integrations: Implementation of predictive logic, interactive data visualizations, and automated workflows.
  • Portal Development: Creation of secure administrative and service provider portals with real-time updates via WebSockets.
  • Consulting & Support: Ongoing application support and technical feasibility consultations.

3. Intellectual Property Rights

  • Work Product Ownership: Upon full payment of all undisputed fees, the Client shall own all rights, titles, and interests in the "work product"-including code, mockups, designs, and inventions-created specifically for the project.
  • Company Rights: Layer Nine retains the right to showcase the work product in portfolios, websites, and galleries for promotional purposes unless otherwise restricted by a non-disclosure agreement.
  • Third-Party Materials: Both parties warrant that any material provided (e.g., logos, data, background IP) does not infringe upon the intellectual property rights of any third party.

4. Project Management & Payment Terms

  • Milestones: Services are typically delivered in defined phases (e.g., Frontend, Intake Systems, Admin Dashboards).
  • Invoicing: We issue invoices upon the completion of each milestone. Payments are due within 30 days of receipt; late payments may incur a fee of 10.0% per month on the outstanding balance.
  • Support Fees: Post-deployment support is available for a monthly fee, which may increase proportionally with significant growth in hosting or database scaling requirements.

5. Confidentiality & Data Protection

Both parties agree to treat private information-including business strategies, customer lists, and R&D notes-with the same degree of care as their own proprietary information. These obligations survive the termination of any service agreement.

6. Limitation of Liability & Indemnity

  • Liability: Neither party shall be liable for breach-of-contract damages that were not reasonably foreseeable at the time of entry.
  • Indemnity: Clients agree to indemnify Layer Nine against liabilities and expenses (including attorneys' fees) arising from a third-party claim related to a breach of the Client's obligations.

Your data is utilized strictly to:

  • Facilitate project communication and provide custom quotes.
  • Manage secure access to development environments and portals.
  • Process payments and fulfill financial reporting obligations.

3. Data Sharing and Security

  • No Commercial Sale: Layer Nine does not sell user or client data to third parties.
  • Service Providers: We may share data with trusted third-party services-such as DocuSign for contract execution or Bluevine for ACH payments-only to the extent necessary to perform our services.
  • Security Measures: We implement industry-standard encryption for sensitive data, including referral submissions and student/family information where applicable.
